Our Story

Back in '98, we started this thing in a cramped office on King Street with nothing but a fax machine, three laptops, and way too much coffee. The dot-com bubble was inflating like crazy, and companies were popping up everywhere - most of 'em had zero clue about proper corporate structuring.

Our founding partner, Rebecca Chen, had just left a big Bay Street firm where she'd spent years watching businesses struggle through restructuring processes that honestly didn't need to be that painful. She figured there had to be a better way - something more fluid, less rigid than the old-school approach everyone was stuck on.

The first few years? Rough. Real rough. We took on cases other firms wouldn't touch - companies already knee-deep in insolvency proceedings, messy shareholder disputes, IP nightmares that'd been festering for years. But that's where we learned the most. You can't teach that stuff in law school.

2001 hit us hard like everyone else. Suddenly half our clients were looking at restructuring or outright dissolution. Instead of backing away, we doubled down. Developed our whole approach around helping businesses navigate those transitions without losing their shirts. Turns out, crisis management became our thing.

By 2008 we'd grown to fifteen lawyers and staff. Financial crisis round two. Again, we were in the thick of it - this time with the experience to really make a difference. That's when we moved into the Bay Street tower where we're at now. Suite 2800 with the lake views and everything.

These days we've got around forty people on the team. Mix of seasoned folks who've seen it all and younger lawyers bringing fresh perspectives. We've handled M&A deals worth hundreds of millions, pulled companies back from the brink more times than I can count, and yeah, we've had our share of courtroom battles too.

What hasn't changed? We still approach every case like it's our first. Still ask the dumb questions that sometimes turn out to be the smart ones. Still believe that corporate law doesn't have to feel like you're wading through molasses.

The "oblique" in our name? It's about seeing angles others miss. Not taking the obvious path just because everyone else does. Sometimes the best solution comes at things sideways, you know?

How We Think About This Work

"Look, most legal work in corporate restructuring is about people, not just paperwork. Yeah, we need to know the statutes inside-out, but at the end of the day, it's someone's business on the line. Maybe their life's work. That weighs on you."

- Rebecca Chen, Founding Partner

"I hate the term 'think outside the box' - such corporate BS. But honestly? Sometimes the solution everyone's looking for is sitting right there, just nobody's bothered to ask the obvious question. We ask the obvious questions."

- Marcus Wellington, Senior Partner

"Compliance isn't sexy, I get it. But you know what's even less sexy? Regulatory penalties that could've been avoided with proper planning. We make compliance as painless as possible - which is still kinda painful, not gonna lie."

- Sarah Okonkwo, Regulatory Practice Lead

The People Behind The Work

Rebecca Chen

Founding Partner

Started this firm when she got tired of the old-guard mentality at big law. Toronto born, McGill educated, called to the bar in '94. Spent four years at a major firm before breaking out on her own. Specializes in complex insolvency and restructuring - the messier the better, apparently. Outside work she's into long-distance running and collects vintage typewriters for some reason. Still takes the subway to work most days.

Joined us in 2003 after cutting his teeth in litigation at another firm. Handles our M&A practice and most of the bigger commercial disputes. Osgoode Hall grad, called in '99. Actually enjoys going to court, which is weird but works out great for us. Known for preparing witnesses better than anyone else in town. Coaches youth basketball on weekends and makes a mean jerk chicken at the firm BBQs.

Our compliance guru who actually makes regulatory work interesting (didn't think it was possible). Western Law grad, called in 2007, came to us in 2011. Spent three years at the OSC before switching to private practice. Knows the regulatory landscape like the back of her hand. Also somehow finds time to volunteer with legal aid clinics and mentor younger lawyers. Coffee addict, true crime podcast enthusiast.

IP & Commercial Contracts

Engineering degree before law school, which makes him perfect for IP work. U of T law, called in 2009, joined us right out of articling. Handles all our tech company clients and most complex commercial contracts. Actually understands how software works, which is clutch when you're negotiating licensing deals. Plays in a garage band that's surprisingly not terrible. Brings his dog to the office way too often but nobody complains.
